Partner Program Terms

These Partner Program Terms ("Terms") govern your participation in the SomaVue Partner Program (the "Program"), operated by SomaVue ("SomaVue," "we," "us," or "our"). By enrolling in the Program you ("Partner," "you," or "your") agree to these Terms, our general Terms of Service, and our Privacy Policy.

The Program is intended for licensed clinicians, functional-medicine educators, and clinical content creators. It is not a general affiliate program. Enrollment may be denied or revoked at our discretion.

1. Enrollment and eligibility

To participate, you must (a) be at least 18 years of age; (b) have legal capacity to enter binding contracts; (c) provide accurate, current registration information; and (d) comply with all applicable laws, including consumer-protection, health-privacy, medical-advertising, and endorsement-disclosure laws in your jurisdiction.

We reserve the right to approve, deny, or revoke Program access at our sole discretion, including but not limited to Partners who cannot demonstrate professional context aligned with SomaVue's clinician audience.

2. Commission structure

Subject to these Terms, SomaVue will pay you a commission of twenty-five percent (25%) of net subscription revenue collected from a Qualified Referral (defined below) for a period of twelve (12) months beginning on the date of the referred user's first successful paid invoice.

3. Qualified Referral

A "Qualified Referral" means a new SomaVue user who (a) clicks a Partner's assigned referral link, (b) is attributed to that Partner through our tracking system, and (c) successfully completes a paid subscription with cleared funds within the applicable attribution window.

The current attribution window is thirty (30) days from the referred user's initial click on a Partner referral link, as measured by our tracking cookie and platform records. SomaVue may adjust the attribution window with notice.

Attribution requires that the referred user's browser accepts and retains the tracking cookie set by our referral platform. Users who block cookies, clear cookies between click and purchase, or complete the purchase from a different device may not be successfully attributed. SomaVue's tracking-platform records are the sole source of truth for attribution disputes.

You are solely responsible for reporting and paying all applicable taxes on commissions received under the Program. SomaVue may require tax documentation before issuing payouts:

Failure to provide required tax documentation may result in withholding of payouts or removal from the Program.

6. Disclosure obligations (FTC compliance)

You must clearly and conspicuously disclose your material connection to SomaVue in any content promoting or referencing the Program or the SomaVue product, in accordance with the US Federal Trade Commission's Endorsement Guides (16 CFR Part 255) and analogous disclosure rules in your jurisdiction.

Acceptable disclosure examples include:

Disclosures must be plainly visible or audible before the audience encounters the recommendation — not buried in a footer, hidden behind a "more" toggle, or placed after the CTA. You are solely responsible for compliance with all applicable disclosure laws.

The following are strictly prohibited and will result in immediate termination and forfeiture of unpaid commissions:

8. Intellectual property

SomaVue grants you a limited, non-exclusive, revocable, non-transferable license to use SomaVue trademarks, logos, product screenshots, and provided promotional assets solely for the purpose of promoting the Program in accordance with these Terms. All goodwill arising from your use of SomaVue marks inures to SomaVue. You acquire no ownership interest in any SomaVue intellectual property through participation in the Program.

9. Confidentiality

You will not disclose non-public information about the Program, our business, or our users without our prior written consent. This includes referred-user identities, individual earnings breakdowns, and any pre-release features shared with you.

10. Termination

You may withdraw from the Program at any time by notifying us at partners@somavue.co. We may suspend or terminate your participation at any time, with or without cause, effective upon notice. Upon termination:

11. Independent contractor relationship

You are an independent contractor. Nothing in these Terms creates an employment, partnership, joint-venture, agency, or franchise relationship between you and SomaVue. You may not represent yourself as a SomaVue employee, agent, or authorized representative.

12. Disclaimers and limitation of liability

THE PROGRAM IS PROVIDED "AS IS." TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOMAVUE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED. IN NO EVENT WILL SOMAVUE'S AGGREGATE LIABILITY UNDER THESE TERMS EXCEED THE TOTAL COMMISSIONS PAID OR PAYABLE TO YOU IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

13. Modification

We may modify these Terms at any time by posting an updated version at this URL. Your continued participation constitutes acceptance of the modified Terms. Material changes to commission rates or attribution windows will be communicated by email at least 14 days before taking effect.

14. Governing law

These Terms are governed by the laws of the state in which SomaVue is incorporated, without regard to conflict-of-laws principles. Any dispute arising from these Terms shall be resolved in the state and federal courts located in that jurisdiction.
